Welcome to Contract Analyze & Compare (the “App”), provided by Shepherdstack LLC (“we,” “our,” “us”). By downloading, installing, or using the App, you (“you,” “your,” or “User”) agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.
1. Purpose of the App
The App allows you to upload, analyze, and compare contract documents using artificial intelligence (AI). It is designed to assist in understanding contract language by highlighting risks, obligations, and differences between documents.
The App does not provide legal advice. Use of the App is for informational purposes only. For legal advice, please consult a licensed attorney.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App. By using the App, you confirm that you meet this requirement.
3. Use of the Service
- You may use the App only for lawful purposes and in compliance with these Terms.
- You are responsible for all content you upload and for ensuring you have the necessary rights, permissions, and consents to provide it.
- You agree not to upload or process through the App:
- Protected health information (as defined by HIPAA)
- Personal data of children under 13 (or the applicable age of digital consent)
- Highly confidential, proprietary, or regulated information that you do not wish to share with third-party providers (including OpenAI).
4. AI Processing and Third Parties
- The App transmits contract text to OpenAI’s API for analysis. By using the App, you acknowledge that OpenAI may process your content in accordance with their Business Terms and Content Sharing Agreement.
- Shepherdstack LLC does not control OpenAI’s processing of your data and disclaims liability for OpenAI’s services.
- We recommend redacting sensitive data before uploading any contract.
5. Intellectual Property
- The App, including its software, design, and branding, is owned by Shepherdstack LLC and protected by intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable license to use the App for personal or business purposes consistent with these Terms.
- You may not copy, modify, distribute, reverse-engineer, or create derivative works from the App.
6. Disclaimers
- The App is provided “as is” without warranties of any kind, express or implied.
- We do not guarantee the accuracy, completeness, or reliability of AI-generated analyses.
- The App does not replace professional legal review and should not be relied upon as a substitute for legal advice.
7. Limitation of Liability
To the maximum extent permitted by law:
- Shepherdstack LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App.
- Our total liability for any claim shall not exceed the amount you paid (if any) to use the App in the 12 months prior to the claim.
8. Termination
We may suspend or terminate your access to the App at any time, without notice, if you violate these Terms or use the App in a harmful or unlawful manner.
9. Changes to These Terms
We may update these Terms from time to time. Changes will be posted within the App and are effective immediately upon posting. Continued use of the App after updates constitutes acceptance of the revised Terms.
